This Offer is made under the laws of Georgia, including the rules governing offers and acceptance under the Civil Code of Georgia.
2. BUSINESS-ONLY USE
The Service is offered exclusively for business and professional use.
A Customer may be a company, individual entrepreneur, other organisation, or a person acting on behalf of such business or professional entity.
The Service is not offered to a person acting solely as a consumer for personal, family or household purposes. If you are acting as a consumer, you must not accept this Offer or install the Integration.

- installing the SendyBees integration in amoCRM;
- authorising or activating the integration;
- connecting a supported messaging channel;
- creating or activating a SendyBees account where such account is required;
- continuing to use the Service after acceptance of these Terms.
Acceptance is made electronically. No handwritten signature is required unless mandatory law requires otherwise. For the purpose of evidencing acceptance, SendyBees may record and retain technical acceptance data, including the date and time of acceptance, the relevant amoCRM account identifier, the version of this Offer accepted and other technical identifiers reasonably necessary to establish the fact of acceptance.
If the Customer does not agree to these Terms, the Customer must not install, activate or use the Service and must disconnect or uninstall it if already connected.
4. DEFINITIONS
“Service” means the SendyBees software, website, APIs, amoCRM integration and related functionality made available by the Provider.
“Integration” means the SendyBees integration or widget used with amoCRM.
“Supported Channel” means WhatsApp, Telegram or another messaging or communication channel technically supported by SendyBees from time to time.
“Customer Data” means information submitted, accessed, transmitted, synchronised or otherwise processed by SendyBees on behalf of the Customer in connection with the Customer’s use of the Service.
“End Contact” means an individual or other contact with whom the Customer communicates through the Service. End Contacts are not parties to this Agreement merely because their information or messages pass through the Service.
5. SUBJECT OF THE AGREEMENT
SendyBees provides the Customer with access to the Service and grants the Customer a limited right to use the Service in accordance with this Agreement.
Depending on the available functionality, the Service may enable the Customer and its authorised users to:
- work with messages from within amoCRM;
- connect supported messaging channels;
- send and receive messages;
- associate communications with CRM records;
- synchronise message and delivery information;
- use other functions described on the SendyBees website or in the Integration interface.
The exact feature set may change as the Service develops.
6. FREE-OF-CHARGE SERVICE
The SendyBees amoCRM Integration is provided free of charge.
No subscription fee, licence fee, purchase price or other payment is due from the Customer under this Agreement for use of the Integration.
Installation, activation or use of the Integration does not create any payment obligation to SendyBees.
If SendyBees introduces separate paid functionality in the future, such functionality will be governed by separate terms and will require the Customer’s separate express acceptance. Such future terms do not form part of this Agreement.
7. LICENCE AND INTELLECTUAL PROPERTY
Subject to this Agreement, SendyBees grants the Customer a limited, non-exclusive, non-transferable and non-sublicensable right to use the Service for the Customer’s internal business purposes during the term of the Agreement.
The Customer may permit its employees, officers and contractors to use the Service on its behalf, provided that the Customer remains responsible for their compliance with this Agreement.
All intellectual-property rights in and to SendyBees, including software, source code, object code, design, interfaces, databases, logos, documentation and other proprietary materials, remain with the Provider or the relevant rights holder.
Except where applicable law expressly permits otherwise, the Customer must not:
- copy, reproduce or create derivative works from the Service except as necessary for normal authorised use;
- reverse engineer, decompile or attempt to extract source code;
- circumvent security or technical restrictions;
- resell, rent, sublicense or commercially redistribute the Service without written permission;
- remove proprietary notices;
- use the Service to build or operate an unlawful competing copy of the Service.
No ownership rights are transferred to the Customer.
8. THIRD-PARTY PLATFORMS
SendyBees is an independent third-party service.
amoCRM, WhatsApp, Meta, Telegram and other third-party names and trademarks belong to their respective rights holders.
Unless expressly stated and duly authorised, SendyBees does not represent that it is amoCRM, Meta, WhatsApp or Telegram, or that it is an official representative, affiliate or partner of those entities.
Operation of some features depends on third-party APIs, platform rules, service availability and technical decisions outside SendyBees’ control.
SendyBees is not responsible for a third-party platform changing or discontinuing an API, limiting an account, suspending a channel, changing its terms or experiencing an outage, except to the extent liability cannot lawfully be excluded.
9. CUSTOMER OBLIGATIONS AND ACCEPTABLE USE
The Customer must:
- use the Service only for lawful business purposes;
- provide accurate information where required;
- protect its credentials, access tokens and connected accounts;
- ensure that only authorised users access the Service;
- have a lawful basis for processing personal data and communicating with End Contacts;
- provide legally required privacy notices;
- obtain any consent required for marketing, messaging or other communications;
- comply with applicable laws, including data-protection, advertising, marketing and electronic-communications rules;
- comply with applicable amoCRM, WhatsApp, Telegram and other platform terms;
- respect intellectual-property and other rights of third parties.
The Customer must not use the Service for:
- unlawful spam or unsolicited communications prohibited by applicable law;
- fraud, phishing or impersonation;
- harassment, threats or unlawful discrimination;
- distribution of malware or harmful code;
- unlawful surveillance or interception;
- content or conduct prohibited by applicable law;
- attempts to compromise SendyBees, amoCRM, messaging channels or other systems.
The Customer determines and is responsible for the content of messages it sends and the persons to whom those messages are addressed.
10. DATA PROCESSING TERMS
This Section forms a written data-processing agreement between the Customer and SendyBees for Customer Data to the extent SendyBees acts as a processor on behalf of the Customer.
10.1. Roles
For Customer Data processed solely to provide messaging, CRM synchronisation and related functionality at the Customer’s direction:
- the Customer acts as controller, unless applicable law determines otherwise;
- SendyBees acts as processor.
For personal data that SendyBees processes for its own account administration, security, legal compliance and other independently determined purposes, SendyBees may act as controller as described in the SendyBees Privacy Policy.
10.2. Subject matter and purpose
The subject matter of processing is the provision of the Service, including transmission, receipt, routing, synchronisation, display, association, technical support, security and troubleshooting of communications and related CRM information.
SendyBees will process Customer Data only for these purposes, on documented Customer instructions, or as otherwise required by applicable law.
10.3. Duration
Processing continues for the period during which the Customer uses the relevant functionality and for such limited period afterwards as is necessary to securely delete, return, restore from backups, comply with law, resolve incidents or establish or defend legal claims.
10.4. Categories of data subjects
Data subjects may include:
- the Customer’s customers and prospective customers;
- leads and CRM contacts;
- employees, representatives or contractors of the Customer;
- other individuals with whom the Customer communicates through supported channels.
10.5. Categories of personal data
Customer Data may include:
- names;
- telephone numbers;
- email addresses where present in the relevant CRM record;
- usernames and messenger/channel identifiers;
- CRM contact, lead, deal, conversation and other identifiers;
- message content;
- attachments, where supported;
- message date and time;
- delivery, read and other status information;
- technical routing and synchronisation information;
- other CRM information that the Customer expressly makes available to the Integration and that is necessary for the selected functionality.
10.6. Customer instructions and responsibilities
The Customer instructs SendyBees to process Customer Data as necessary to provide the Service and to perform the actions initiated or configured by the Customer and its authorised users.
The Customer is responsible for the lawfulness of its instructions, the legal basis for processing and the accuracy of Customer Data supplied to the Service.
If SendyBees reasonably believes an instruction violates applicable data-protection law, SendyBees may suspend the relevant processing and request clarification, unless prohibited by law.
10.7. Confidentiality
SendyBees will ensure that persons authorised to process Customer Data are subject to appropriate confidentiality obligations.
The confidentiality obligation survives termination of the Agreement to the extent required by law or the nature of the information.
10.8. Security
SendyBees will implement organisational and technical measures appropriate to the nature and risks of processing and designed to protect Customer Data against unlawful or unauthorised access, disclosure, alteration, loss or destruction.
Measures may include, as appropriate, access controls, credential and token protection, secure transmission, logging, monitoring, backup and recovery controls and restrictions on personnel access.
10.9. Assistance with data-subject rights and compliance
Taking into account the nature of processing and information available to SendyBees, SendyBees will provide reasonable assistance to the Customer with:
- requests by data subjects;
- security obligations;
- incident investigation;
- legally required notifications;
- other compliance obligations that relate directly to processing performed by SendyBees on behalf of the Customer.
Where an End Contact submits a request directly to SendyBees concerning Customer-controlled data, SendyBees may redirect the request to the Customer unless applicable law requires another response.
10.10. Incidents
If SendyBees becomes aware of a personal-data incident affecting Customer Data processed on behalf of the Customer, SendyBees will notify the Customer without undue delay and provide reasonably available information about the nature of the incident and mitigation measures.
10.11. Subprocessors
By accepting this Agreement, the Customer gives prior written general authorisation for SendyBees to engage third-party subprocessors reasonably necessary to provide the Service, including providers of hosting, infrastructure, APIs, communications, monitoring, security and technical support.
SendyBees will require subprocessors that process Customer Data on its behalf to be bound by appropriate data-protection and confidentiality obligations.
Where applicable law requires notice of a new material subprocessor, SendyBees may provide notice through the Service, the website or email. The Customer may raise a reasonable written objection based on data-protection grounds. If the parties cannot reasonably resolve the objection, either party may discontinue the affected functionality.
Authorisation of a subprocessor does not relieve SendyBees of obligations that remain applicable to SendyBees under law and this Agreement.
10.12. International transfers
The Customer acknowledges that providing a cross-border SaaS integration may require Customer Data to be processed in jurisdictions in which SendyBees, the Customer, connected platforms or authorised subprocessors operate.
Each party is responsible for complying with international-transfer requirements applicable to it. Where Customer Data is subject to the GDPR and its transfer to SendyBees in Georgia requires a transfer mechanism under Chapter V of the GDPR, SendyBees will reasonably cooperate without undue delay in putting the required mechanism in place.
If required for a transfer from the EEA, the parties will enter into the applicable Standard Contractual Clauses adopted by the European Commission, including the controller-to-processor module where appropriate, and complete the required annexes. Where UK data-protection law applies, the parties will use the applicable UK international-transfer mechanism, including the UK International Data Transfer Addendum or another mechanism recognised by applicable law. Equivalent safeguards will be used where another applicable law requires them.
10.13. Return and deletion
Upon termination of the relevant processing arrangement, SendyBees will, in accordance with applicable law and technically applicable procedures, delete or return Customer Data and delete remaining copies, unless retention is required by law or temporarily necessary within protected backup or recovery systems.
SendyBees is not intended to serve as the Customer’s permanent archive of correspondence unless expressly agreed otherwise.
10.14. Information and audit support
SendyBees will provide the Customer with information reasonably necessary to demonstrate compliance with the processor obligations applicable to the processing under this Agreement.
Any audit request must be reasonable, proportionate, protect the security and confidentiality of other customers and SendyBees systems, and should first be satisfied through available documentation where practicable.
11. PRIVACY POLICY
The SendyBees Privacy Policy is incorporated by reference into this Agreement for purposes of explaining the Provider’s data-processing practices.
The current Privacy Policy is available at https://sendybees.space/privacy.
If there is a conflict between the Privacy Policy and the data-processing obligations expressly set out in Section 10 of this Agreement, Section 10 controls as between the Provider and the Customer to the extent of that conflict.
12. ACCESS, AUTHORISATION AND SECURITY
The Customer may be required to authorise access using OAuth, API credentials, channel tokens, session credentials or another method supported by the relevant platform.
SendyBees will use such credentials only as reasonably necessary to provide, secure and troubleshoot the connected functionality.
The Customer is responsible for protecting its own accounts and for promptly revoking access if it suspects compromise.
SendyBees will not require the Customer to disclose an amoCRM account password where the applicable integration flow provides secure authorisation without password disclosure.
13. AVAILABILITY, MAINTENANCE AND SUPPORT
SendyBees will use reasonable efforts to keep the Service operational but does not promise uninterrupted or error-free availability.
The Service may be unavailable due to maintenance, security actions, technical failures, internet or hosting outages, third-party platform outages or circumstances beyond reasonable control.
Support may be requested at [email protected].
Unless a separate written service-level agreement is signed, no specific uptime or response-time guarantee applies.
14. CHANGES TO THE SERVICE
SendyBees may update, modify, improve, replace or discontinue features of the Service.
Where reasonably practicable, SendyBees will provide notice of material changes that substantially reduce core functionality. Immediate changes may be made without prior notice where necessary for security, legal compliance, third-party platform changes or incident response.
15. SUSPENSION AND TERMINATION
The Customer may terminate this Agreement at any time by disconnecting and uninstalling the Integration and ceasing use of the Service.
SendyBees may suspend or terminate access where reasonably necessary because of:
- material breach of this Agreement;
- unlawful or abusive use;
- security risk;
- threat to other users or systems;
- a requirement of law or competent authority;
- suspension or technical restriction imposed by a connected third-party platform;
- discontinuation of the Service.
Where circumstances reasonably permit, SendyBees will attempt to give notice before termination or suspension.
Sections that by their nature should survive termination, including intellectual property, confidentiality, data-protection obligations, liability, governing law and dispute provisions, survive termination to the appropriate extent.
16. WARRANTIES AND DISCLAIMERS
The Service is provided on an “as available” basis.
To the maximum extent permitted by applicable law, SendyBees does not guarantee that:
- the Service will always be available or uninterrupted;
- every third-party platform will remain compatible;
- messages will always be delivered by third-party networks;
- the Service will meet every Customer-specific business requirement;
- third-party APIs or platforms will remain unchanged.
Nothing in this Agreement excludes any warranty or obligation that cannot lawfully be excluded.
17. LIABILITY
Each party remains responsible for its own acts and omissions under applicable law.
To the maximum extent permitted by law, SendyBees will not be liable for indirect, incidental, special or consequential losses, loss of profit, loss of business opportunity, or loss caused solely by a third-party platform outside SendyBees’ reasonable control.
Because the Integration is provided free of charge, the Provider’s aggregate contractual liability arising from the free Service will not exceed GEL 500 (or its equivalent in another currency), except where such limitation is prohibited by mandatory law or where liability arises from intentional misconduct or gross negligence to the extent that it may not lawfully be limited.
The Customer remains responsible for its messages, marketing campaigns, legal basis for communications, Customer Data, connected accounts and use of third-party platforms.
18. FORCE MAJEURE
Neither party is liable for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, widespread telecommunications or internet failures, major cyber incidents not caused by that party’s failure to take legally required measures, governmental action or third-party infrastructure failure.
The affected party should use reasonable efforts to mitigate the effects.
19. CHANGES TO THESE TERMS
SendyBees may update these Terms.
The current version of these Terms will be published at https://sendybees.space/terms with an updated effective date.
Where a change materially affects the Customer’s rights or obligations, SendyBees will use reasonable efforts to provide additional notice through the Service or by email.
Continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms. If the Customer does not agree, the Customer must stop using and uninstall the Service before the updated Terms take effect, except where mandatory law provides otherwise.
No paid obligation may be introduced solely through this change mechanism; payment requires the separate clear acceptance described in Section 6.
20. GOVERNING LAW AND DISPUTES
This Agreement is governed by the laws of Georgia, without prejudice to mandatory legal provisions that apply irrespective of the chosen law.
The parties will first attempt in good faith to resolve a dispute through written communication.
If a dispute is not resolved amicably, it will be submitted to the competent courts of Tbilisi, Georgia, unless mandatory applicable law requires another forum.
